WARM Systems - Terms of Service

1. Agreement to Terms

By accessing or using WARM Systems ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

2. Description of Service

WARM Systems is an AI-powered sales automation platform that provides:

  • Automated email outreach and follow-up

  • CRM integration (HubSpot, Salesforce)

  • AI-generated sales communications

  • CRM data analysis and hygiene tools

3. Account Registration

To use the Service, you must:

  • Provide accurate, complete registration information

  • Maintain the security of your account credentials

  • Promptly notify us of any unauthorized access

  • Be at least 18 years old or the age of majority in your jurisdiction

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree NOT to use the Service to:

  • Send spam or unsolicited bulk communications

  • Violate any applicable laws, including CAN-SPAM, GDPR, or CCPA

  • Transmit malicious code or interfere with the Service

  • Impersonate any person or entity

  • Harvest or collect information about others without consent

  • Send communications that are harassing, defamatory, or fraudulent

  • Violate the terms of service of connected platforms (HubSpot, Salesforce, etc.)

5. AI-Generated Content

The Service uses artificial intelligence to generate email content. You acknowledge that:

  • You are solely responsible for reviewing and approving all AI-generated content before sending

  • AI outputs may contain errors and should be reviewed for accuracy

  • You will not use AI-generated content for unlawful purposes

  • WARM Systems is not liable for consequences arising from AI-generated content you choose to send

6. CRM Data & Privacy

When you connect your CRM:

  • You grant us permission to access and process your CRM data to provide the Service

  • You represent that you have the right to share this data with us

  • We will process data in accordance with our Privacy Policy

  • You remain the owner of your CRM data

7. Subscription & Payment

  • Subscriptions are billed monthly unless otherwise agreed

  • All fees are non-refundable except as required by law

  • We reserve the right to change pricing with 30 days notice

  • Failure to pay may result in suspension or termination of service

8. Cancellation

You may cancel your subscription at any time:

  • Cancellation takes effect at the end of your current billing period

  • You retain access until the end of the paid period

  • No refunds for partial months

9. Intellectual Property

  • WARM Systems retains all rights to the Service, including software, branding, and documentation

  • You retain ownership of your data and content

  • You grant us a limited license to use your data solely to provide the Service

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT:

  • The Service will be uninterrupted or error-free

  • AI-generated content will be accurate or appropriate

  • The Service will meet your specific requirements

  • Any particular results will be achieved

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WARM SYSTEMS SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages

  • Loss of profits, data, or business opportunities

  • Damages exceeding the amount you paid in the 12 months prior to the claim

12. Indemnification

You agree to indemnify and hold harmless WARM Systems and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of the Service

  • Your violation of these Terms

  • Your violation of any third-party rights

  • Content you send using the Service

13. Modifications to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use after changes constitutes acceptance.

14. Termination

We may suspend or terminate your access to the Service:

  • For violation of these Terms

  • For non-payment

  • At our discretion with 30 days notice

15. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts of El Paso County, Texas.
